Overview

Welcome to Flowtica! Throughout this document, the terms "we", "us", and "our" refer to Flowtica.

Flowtica operates this website, our online store, mobile applications, and all related information, content, features, tools, products, and services (collectively, the "Service"). We provide parts of our Service to you enabled by Shopify Inc.

Please read these Terms of Service ("Terms") carefully before accessing or using our Service. These Terms apply to all visitors, users, customers, and others who wish to access or use the Service, purchase products, or use our services.

By visiting, interacting with, or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you should not use or access our Service.

1 Access and Account

To use the Service, including purchasing products or using our application, you may be required to create an account.

You agree to provide information that is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account.

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for any and all activities or actions that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence. If you are a minor (e.g., under 16 in the EU or 13 in the US), you must use the Service with the consent of a parent or guardian.

2 Orders, Pricing, and Payment

1. Product Prices and Availability: We strive to ensure the accuracy of pricing and product descriptions. However, errors may occur. We reserve the right to cancel or modify orders placed at incorrect prices, even if the order has been confirmed. All prices are subject to change without notice.
2. Orders: When you place an order, you are making an offer to purchase. We reserve the right to accept or decline your order for any reason. Your order is not accepted until we confirm acceptance. We must receive and process your payment before your order is accepted.
3. Taxes and Fees: Unless otherwise stated, displayed prices do not include taxes, shipping, handling, or import charges. These charges will be calculated and displayed at checkout.
4. Billing Information: You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases made.

3 Subscription Terms

1. Billing: Certain parts of our Service (e.g., premium app features) may be billed on a subscription basis. Subscriptions are billed on a monthly or annual basis. Payment will be charged at the start of each billing cycle.
2. Automatic Renewal: Subscriptions will automatically renew at the end of each billing period unless canceled prior to the renewal date.
3. Cancellation: You may cancel your subscription at any time via your account settings or by contacting support@flowtica.ai.
4. Refunds: Payments for partial subscription periods are not refunded, unless required by law.

4 Order Cancellation and Refund Policy

1. Cancellation Before Shipment: You may cancel an order by contacting support@flowtica.ai prior to receiving a shipment confirmation notice.
2. Cancellation After Shipment: Order cancellation is not available once the order has shipped. You may, however, initiate a return under our return policy after delivery.
3. 30-Day No-Reason Return: If you are unsatisfied with your purchase for any reason, you may return it within 30 days of delivery for a full refund. Returned items must be in good condition and include all original packaging and accessories.
4. 7-Day DOA (Dead on Arrival): If you receive a product that is damaged, incorrect, or non-functional, you may request a replacement or full refund within 7 days of delivery by contacting us and submitting supporting documentation.
5. Digital Products: Annual Memberships or Transcription Quotas that have not been activated or used are eligible for a full refund within 30 days of purchase.

5 Additional Terms for EU Consumers

If you are a consumer residing in the European Union, you are entitled under EU consumer protection law to withdraw from your purchase contract within 14 days of receiving the goods, without giving any reason.

To exercise this right, please email us at support@flowtica.ai with a clear statement of your decision to withdraw. Upon valid withdrawal, we will refund all payments received from you (including standard delivery costs) within 14 days of being informed of your decision.

This statutory right of withdrawal operates independently of our 30-day return policy and does not affect your additional rights under our standard return terms.

6 Shipping and Delivery

All delivery times are estimates only. We are not liable for shipping and delivery delays caused by shipping carriers, customs processing, or events outside our control. Title and risk of loss pass to you once we transfer products to the carrier.

7 Intellectual Property

Our Service, including but not limited to all trademarks, brands, text, displays, images, graphics, video, and audio, and the design and arrangement thereof, are owned by Flowtica or its licensors and are protected by U.S. and foreign patent, copyright, and other intellectual property laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, download, store, or transmit any of the material on the Service without our prior written consent.

8 Feedback

If you submit any ideas, suggestions, feedback, reviews, or proposals (collectively, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, and distribute such Feedback for any purpose, including for commercial use. We are under no obligation (1) to maintain your Feedback in confidence; (2) to pay compensation for your Feedback; or (3) to respond to your Feedback.

9 Prohibited Uses

You may not use the Service for any unlawful purpose. You agree not to:

• Infringe upon or violate our intellectual property rights or the intellectual property rights of others;
• Harass, abuse, defame, or discriminate against any person;
• Transmit viruses or any other type of malicious code;
• Collect or track the personal information of others;
• Spam, phish, crawl, or scrape.

We reserve the right to terminate your use of the Service for violating any of the prohibited uses.

10 Relationship with Shopify

Our store is hosted by Shopify Inc. You acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Flowtica, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Flowtica.

11 Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

12 Limitation of Liability

To the fullest extent provided by law, in no case shall Flowtica, our directors, officers, employees, affiliates, agents, suppliers, or licensors be liable for any indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, loss of data, or any similar damages.

Nothing in this section shall exclude or limit our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability which cannot be excluded or limited under applicable law (including, where applicable, EU consumer law).

For consumers residing in the European Union, statutory rights under applicable consumer protection laws, including a two-year legal warranty for goods, remain unaffected by these Terms.

13 Indemnification

You agree to indemnify, defend and hold harmless Flowtica, Shopify, and our affiliates, partners, officers, and directors from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of (1) your breach of these Terms of Service, (2) your violation of any law or the rights of a third-party, or (3) your access to and use of the Services.

14 Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

However, if you are a consumer, you may be entitled to the protection of the mandatory consumer protection laws and regulations of your country of residence. Nothing in these Terms shall affect your rights under such mandatory local laws.

15 Changes to Terms of Service

We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' prior written notice by email or through our Service. For non-material changes, we will notify you at least 15 days in advance.

Your continued use of or access to the Service following the posting of any changes constitutes acceptance of those changes.
